Terms of Service
Effective Date: March 1, 2026
The short version
We know legal documents are long. Here are the key points:
- You own everything you write — we never claim ownership of your manuscripts, chapters, notes, or any other content you create.
- We never use your writing to train AI models. Content processed through our AI features is handled under strict API terms that prohibit training use.
- You can export your content anytime in PDF, EPUB, or DOCX format, and delete your account whenever you want.
- We use industry-standard security to protect your work and your personal information.
- Free tier is really free — no bait-and-switch. We will give you 30 days notice before any changes to the free tier.

1. Acceptance of Terms
By creating an account, accessing, or using IndieChapters (the “Service”), you agree to be bound by these Terms of Service (“Terms”). If you do not agree to these Terms, you may not access or use the Service.
You must be at least 13 years of age to use the Service. If you reside in the European Union, European Economic Area, or the United Kingdom, you must be at least 16 years of age. By using the Service, you represent and warrant that you meet the applicable minimum age requirement.
If you are using the Service on behalf of an organization, company, or other legal entity, you represent and warrant that you have the authority to bind that entity to these Terms. In that case, “you” and “your” refer to that entity.
These Terms incorporate our Privacy Policy by reference. By accepting these Terms, you also acknowledge that you have read and understood our Privacy Policy.
2. Definitions
The following terms have specific meanings when used in these Terms:
- “Service” means the IndieChapters web application, website, and all related features, functionality, content, and services provided by IndieChapters.
- “User Content” means manuscripts, chapters, notes, outlines, writing goals, audio recordings, transcriptions, and any other content you create, upload, store, or process using the Service.
- “Account” means your registered IndieChapters user account, including your login credentials, profile information, settings, and preferences.
- “Subscription” means a paid plan that provides access to premium features of the Service beyond those available in the free tier.
- “AI Features” means voice-to-text transcription powered by OpenAI Whisper and text processing features powered by OpenAI GPT-4o, as well as any other artificial intelligence or machine learning features offered by the Service.
- “Export”means the generation and download of PDF, EPUB, or DOCX files from your User Content using the Service’s export functionality.
3. Your Content — Ownership and Rights
3.1 You Own Your Content. Period.
IndieChapters does not claim any ownership rights over your manuscripts, chapters, notes, or any other User Content you create using the Service. Your copyright and all other intellectual property rights in your User Content remain entirely yours. You are the sole author and owner of your creative works, and nothing in these Terms transfers any ownership interest to IndieChapters.
3.2 Limited License Grant
By using the Service, you grant IndieChapters a limited, non-exclusive, non-transferable, royalty-free license to host, store, process, transmit, and display your User Content solely for the purpose of providing and operating the Service. This license is strictly functional — it exists only so we can store your work on our servers, display it in your editor, process it for export, and perform the other operations necessary to deliver the Service to you. This license terminates when you delete your content or close your account, subject to backup retention schedules as described in our Privacy Policy.
3.3 No Commercial Use of Your Content
IndieChapters will never use your User Content for marketing, advertising, promotion, or any commercial purpose without your explicit written consent. Your manuscripts and creative works are private by default and will remain so.
3.4 No AI Training on Your Content
IndieChapters will never use your manuscripts, notes, voice recordings, or any User Content to train, fine-tune, or improve machine learning models, neural networks, or any form of artificial intelligence system. Content processed through our AI Features (such as transcription and text processing) is handled by OpenAI under their API data usage policy, which states that data submitted via the API is not used for training models. IndieChapters contractually requires that its AI service providers do not use your data for model training.
3.5 Publication Rights
Your use of IndieChapters does not affect your copyright ownership or your right to publish, sell, distribute, license, or otherwise exploit your creative works in any way you choose. IndieChapters makes no claim on any revenue, royalties, advances, or any other commercial benefit derived from works you create, edit, or store using the Service. You are free to publish with any publisher, self-publish on any platform, or distribute your works in any manner, without restriction or obligation to IndieChapters.
3.6 Data Portability Guarantee
You may export your User Content at any time in PDF, EPUB, and DOCX formats. IndieChapters commits to maintaining export functionality as a core feature of the Service. We believe your ability to take your work elsewhere is fundamental, and we will not restrict or degrade export capabilities to discourage you from leaving the platform.
4. AI Features and Third-Party Processing
4.1 AI-Powered Features
IndieChapters offers optional AI-powered features, including voice-to-text transcription (via the OpenAI Whisper API) and text processing capabilities (via the OpenAI GPT-4o API). These features are designed to assist your writing workflow and are entirely optional — the core writing, editing, and export features of the Service function without them.
4.2 Voice Transcription Processing
When you use the voice transcription feature, your audio recording is transmitted to OpenAI for processing via their Whisper API. The resulting transcription is returned to IndieChapters and stored in your account. Per OpenAI’s API data usage policy, audio data submitted via the API is retained for a maximum of 30 days for abuse monitoring purposes and is not used for model training.
4.3 Text Processing
When you use text processing features, only the specific text you select or designate is sent to OpenAI for processing. Your entire manuscript is never transmitted — only the discrete portion you choose to process. IndieChapters minimizes data exposure by sending only the content necessary to perform the requested operation.
4.4 Ownership of AI-Generated Output
AI-generated output, including transcriptions and processed text, becomes part of your User Content upon delivery to your account and is owned by you, subject to the same ownership rights described in Section 3.
4.5 Accuracy and Your Responsibility
AI features may produce inaccurate, incomplete, or otherwise imperfect results. Transcription may contain errors, especially with specialized vocabulary, accents, or poor audio quality. Text processing output may not accurately reflect your intended meaning or voice. You are solely responsible for reviewing, editing, and verifying all AI-generated content before incorporating it into your work or relying on it for any purpose.
4.6 Changes to AI Providers
IndieChapters may change, add, or replace AI service providers in the future to improve quality, reduce costs, or for other operational reasons. We will notify you of any material changes that affect how your data is processed by third-party AI providers, including updates to this section of the Terms. Our commitment in Section 3.4 — that your content will not be used for AI training — applies regardless of which provider we use.
5. Account Registration and Security
To access most features of the Service, you must create an Account. When registering, you agree to the following:
- You must provide accurate, current, and complete registration information and keep it up to date.
- You are responsible for maintaining the confidentiality and security of your account credentials, including your password and any OAuth tokens associated with your account.
- You must notify IndieChapters immediately at support@indiechapters.com if you become aware of any unauthorized access to or use of your account.
- Accounts are for individual use only and may not be shared between multiple people. Each person must create their own account.
- You are responsible for all activity that occurs under your account, whether or not you authorized that activity, except where the unauthorized activity results from a breach of our systems.
- We reserve the right to refuse registration, suspend, or cancel accounts at our discretion if we reasonably believe that registration information is inaccurate, that the account is being used in violation of these Terms, or for other legitimate reasons.
6. Subscription Plans, Billing, and Payment
6.1 Free Tier
IndieChapters offers a free tier that provides access to core writing, editing, and export features with certain usage limitations. We reserve the right to modify the features included in the free tier with at least 30 days advance notice to affected users. The free tier will always include the ability to access and export your existing User Content.
6.2 Paid Subscriptions
Paid subscription plans provide access to additional features as described on our pricing page. Features, usage limits, and pricing for each plan are detailed on the pricing page and may be updated from time to time. All prices are listed in US dollars (USD) unless otherwise stated.
6.3 Billing
Subscriptions are billed on a recurring basis — either monthly or annually, depending on the plan you choose at the time of purchase. All billing and payment processing is handled by Stripe, Inc. By subscribing, you agree to Stripe’s terms of service as they apply to payment processing. IndieChapters does not directly store your full credit card number or payment credentials.
6.4 Auto-Renewal
Subscriptions automatically renew at the end of each billing period (monthly or annually) unless you cancel before the renewal date. You will be charged the then-current subscription price at each renewal. We will send you a reminder before each renewal for annual subscriptions.
6.5 Price Changes
We may change subscription prices from time to time. We will provide at least 30 days advance notice of any price change via email to your registered email address. Price changes take effect at the start of your next billing period after the notice period has expired. If you do not agree to a price change, you may cancel your subscription before the new price takes effect.
6.6 Failed Payments
If a payment fails, we will attempt to process it again in accordance with our payment processor’s retry schedule. We will notify you of the failure and provide an opportunity to update your payment method. After repeated payment failures, your account may be downgraded to the free tier. Importantly, your User Content will remain accessible and exportable regardless of your payment status — we will never hold your content hostage.
6.7 Taxes
You are responsible for any applicable sales tax, value-added tax (VAT), goods and services tax (GST), or other taxes imposed by your jurisdiction. Prices displayed on our pricing page may not include taxes, which will be calculated and added at checkout where required by law.
6.8 Refunds
Monthly subscriptions: no refunds are provided for partial months. If you cancel a monthly subscription, you retain access to paid features until the end of your current billing period.
Annual subscriptions: if you cancel within the first 30 days after purchase or renewal, you are eligible for a pro-rata refund of the unused portion of your subscription. After 30 days, no refund is provided for the remaining term. You retain access to paid features until the end of your current billing period.
These refund terms do not affect your statutory rights under applicable consumer protection laws, including the 14-day cooling-off period for online purchases available to consumers in the European Union under the Consumer Rights Directive (2011/83/EU).
6.9 Cancellation
You may cancel your subscription at any time through your account settings or by contacting support@indiechapters.com. Cancellation takes effect at the end of your current billing period — you will not be charged again, and you retain access to paid features until that period ends. Upon cancellation, your account reverts to the free tier. All your User Content remains fully accessible and exportable after downgrade.
7. Acceptable Use Policy
You agree not to use the Service to:
- Store, upload, or distribute content that is illegal under applicable law, including but not limited to content that constitutes child sexual abuse material, content that incites violence, or content that violates export control or sanctions laws.
- Upload malware, viruses, trojans, worms, or any other harmful, destructive, or malicious code or software.
- Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code, algorithms, or underlying structure of the Service or its software.
- Circumvent, disable, or interfere with access controls, usage limits, rate limits, security measures, or any other protective mechanisms of the Service.
- Scrape, crawl, spider, or extract data from the Service using automated means, bots, scripts, or similar technology, except as expressly permitted in writing by IndieChapters.
- Impersonate any person, entity, or organization, or falsely represent your affiliation with any person, entity, or organization.
- Interfere with, disrupt, degrade, or impair the operation, performance, or availability of the Service, its infrastructure, or other users’ experience.
- Resell, redistribute, sublicense, or provide access to the Service to third parties, whether for commercial purposes or otherwise, without our express written consent.
- Use AI Features to generate content that violates applicable law, including content that infringes copyright, constitutes defamation, or is otherwise unlawful.
- Engage in any activity that could subject IndieChapters to liability, damage its reputation, or infringe upon the rights of others.
IndieChapters may suspend or terminate accounts that violate this Acceptable Use Policy. We will provide notice where feasible before suspension and an opportunity to cure the violation, except in cases involving illegal activity, imminent security threats, or risk of harm to other users or the Service.
8. IndieChapters Intellectual Property
IndieChapters and its licensors own all rights, title, and interest in and to the Service, including the software, source code, design, user interface, documentation, branding, graphics, and all related intellectual property. The Service is protected by copyright, trademark, trade secret, and other intellectual property laws.
Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your personal or internal business purposes. This license does not include the right to modify, copy, distribute, sell, lease, or create derivative works based on the Service.
The IndieChapters name, logo, and all related branding, product names, and trade dress are trademarks of IndieChapters. You may not use these marks without our prior written permission, except as necessary to reasonably identify the Service in non-commercial contexts (such as reviews or articles).
If you provide feedback, suggestions, ideas, or recommendations about the Service (“Feedback”), you grant IndieChapters a non-exclusive, worldwide, royalty-free, perpetual license to use, implement, and incorporate that Feedback into the Service without any obligation or compensation to you. For the avoidance of doubt, this provision applies only to Feedback about the Service itself and does not apply to your User Content under any circumstances.
9. Privacy and Data Protection
Our collection, use, storage, and disclosure of personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Service, you consent to the data practices described in our Privacy Policy.
The Service is not directed at children under 13 years of age (or under 16 in the European Union, European Economic Area, and the United Kingdom). We do not knowingly collect personal information from children below these age thresholds. If we become aware that we have collected personal information from a child below the applicable age threshold, we will take steps to delete that information promptly.
For detailed information about your rights under the General Data Protection Regulation (GDPR), the California Consumer Privacy Act (CCPA), and other applicable privacy and data protection laws, please refer to our Privacy Policy.
10. Service Availability and Modifications
We strive to maintain high availability and reliability of the Service, but we do not guarantee that the Service will be uninterrupted, error-free, or available at all times. The Service is provided on an “as-is” and “as-available” basis, particularly for free tier users.
We may perform scheduled maintenance on the Service from time to time. Where possible, we will provide reasonable advance notice of scheduled maintenance that may affect Service availability.
We may add, modify, or remove features, functionality, or content of the Service at any time. We will communicate material changes to core features (such as the editor, export functionality, or AI features) with reasonable advance notice via email or in-app notification. Minor updates, bug fixes, and non-material changes may be made without notice.
IndieChapters is not liable for service interruptions, delays, or failures caused by events beyond our reasonable control, including but not limited to natural disasters, acts of government, internet or telecommunications failures, cyberattacks, pandemics, labor disputes, or other force majeure events.
11. Account Suspension and Termination
11.1 Termination by You
You may close your account at any time through your account settings or by contacting support@indiechapters.com. We recommend exporting your User Content before closing your account.
11.2 Export Window
Upon account closure, you have 30 days to log back in and export your User Content. During this 30-day grace period, your account is deactivated but your data is preserved. After 30 days, your User Content is permanently deleted from our systems in accordance with our data retention policy as described in our Privacy Policy.
11.3 Termination by IndieChapters
We may suspend or terminate your account if you materially breach these Terms. Where feasible, we will provide you with notice of the breach and a reasonable opportunity to cure it before termination. Termination notice will be sent to your registered email address.
11.4 Immediate Suspension
We may immediately suspend or restrict access to accounts that are engaged in illegal activity, pose a security threat to the Service or other users, are causing or threatening to cause harm to other users, or are being used in a manner that could subject IndieChapters to legal liability. We will notify you of the suspension and the reasons for it as soon as reasonably practicable.
11.5 Effect of Termination
Upon termination, your license to access and use the Service ends. Any active subscription is cancelled, and no further charges will be incurred. Your ownership of your User Content is not affected by account termination — your intellectual property rights survive regardless of account status.
11.6 Surviving Provisions
The following sections survive termination of these Terms and your account: Section 3 (Your Content — Ownership and Rights), Section 8 (IndieChapters Intellectual Property), Section 12 (Warranty Disclaimers), Section 13 (Limitation of Liability), Section 14 (Indemnification), Section 15 (Dispute Resolution), and Section 20 (General Provisions).
12. Warranty Disclaimers
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
Without limiting the foregoing, IndieChapters does not warrant that:
- The Service will be uninterrupted, timely, error-free, or secure.
- The results obtained from AI Features, including transcription and text processing, will be accurate, complete, or reliable. All AI-generated content should be carefully reviewed and verified by you before use or reliance.
- Export formatting will render with perfect fidelity across all reading devices, e-reader applications, and word processing software. Export output may vary depending on the target format and the software used to open it.
- The Service will meet your specific requirements or expectations.
- Any errors or defects in the Service will be corrected within any particular timeframe.
You are responsible for maintaining your own backup copies of important User Content. While IndieChapters implements reasonable data protection and backup measures, we recommend periodically exporting your work as an additional safeguard.
Nothing in these Terms excludes or limits warranties that cannot be excluded or limited under applicable law. In jurisdictions that do not allow the exclusion of implied warranties, the above exclusions may not apply to you, and you may have additional rights under your local consumer protection laws.
13. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, INDIECHAPTERS, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND LICENSORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, HOWEVER CAUSED AND UNDER ANY THEORY OF LIABILITY.
This limitation includes, but is not limited to, damages for lost profits, lost revenue, lost data, lost manuscripts or creative works, publication delays, business interruption, loss of business opportunity, loss of goodwill, or cost of procurement of substitute services, even if IndieChapters has been advised of the possibility of such damages.
Our total aggregate liability for any and all claims arising from or related to these Terms or the Service, whether in contract, tort (including negligence), strict liability, or any other legal theory, shall not exceed the greater of: (a) the total amounts you have paid to IndieChapters in the twelve (12) months immediately preceding the event giving rise to the claim, or (b) one hundred United States dollars (US $100.00).
These limitations apply regardless of the legal theory upon which the claim is based, including breach of contract, tort, negligence, strict liability, or any other basis, and regardless of whether IndieChapters has been advised of the possibility of such damages.
Some jurisdictions do not allow the exclusion or limitation of certain types of damages. In those jurisdictions, IndieChapters’ liability is limited to the fullest extent permitted by applicable law.
Nothing in these Terms limits or excludes IndieChapters’ liability for: (a) fraud or fraudulent misrepresentation; (b) gross negligence or willful misconduct; (c) death or personal injury caused by our negligence; or (d) any other liability that cannot be excluded or limited by applicable law.
14. Indemnification
To the extent permitted by applicable law, you agree to indemnify, defend, and hold harmless IndieChapters, its officers, directors, employees, agents, and licensors from and against any and all claims, demands, damages, losses, liabilities, costs, and expenses (including reasonable attorneys’ fees and legal costs) arising from or related to:
- Your access to or use of the Service.
- Your User Content, including any claims of copyright infringement, defamation, or other legal violations related to works you create, store, or publish using the Service.
- Your violation of these Terms or any applicable law, regulation, or third-party right.
- Any third-party claims arising from your use of the Service or your User Content.
IndieChapters will provide you with reasonable written notice of any such claim and will cooperate with your defense at your reasonable request and expense. IndieChapters reserves the right to assume the exclusive defense and control of any matter subject to indemnification by you, at its own expense.
This indemnification obligation may be limited or inapplicable in jurisdictions where consumer indemnification is restricted or prohibited by law, including but not limited to the European Union and the United Kingdom. In those jurisdictions, this section applies only to the extent permitted by applicable consumer protection legislation.
15. Dispute Resolution
15.1 Informal Resolution First
Before initiating any formal legal proceeding, you agree to contact IndieChapters at legal@indiechapters.com and attempt to resolve the dispute informally for at least 30 days. Most disputes can be resolved without formal proceedings, and we are committed to working with you in good faith to find a resolution.
15.2 Governing Law
These Terms and any disputes arising from or related to them or the Service are governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law principles.
15.3 Binding Arbitration
Any dispute, claim, or controversy arising from or related to these Terms or the Service that cannot be resolved through the informal resolution process described in Section 15.1 shall be resolved through final and binding arbitration administered by the American Arbitration Association (“AAA”) under its Commercial Arbitration Rules then in effect. The arbitration shall be conducted by a single arbitrator, in the English language, and the seat of arbitration shall be Wilmington, Delaware, United States. The arbitrator’s decision shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.
15.4 Small Claims Exception
Notwithstanding the arbitration provision above, either party may bring a qualifying claim in the small claims court of competent jurisdiction, provided the claim falls within that court’s jurisdictional limits and remains in small claims court.
15.5 Class Action Waiver
All disputes must be brought on an individual basis. You and IndieChapters each waive the right to participate in any class action, class arbitration, consolidated arbitration, or representative proceeding. Unless both parties agree otherwise in writing, the arbitrator may not consolidate claims or preside over any form of representative or class proceeding.
15.6 Opt-Out Right
You may opt out of the arbitration agreement and class action waiver set forth in Sections 15.3 and 15.5 by sending written notice to legal@indiechapters.com within 30 days of creating your account. Your opt-out notice must include your full name, registered email address, and a clear statement that you wish to opt out of arbitration. If you opt out, you and IndieChapters agree to resolve disputes exclusively in the state or federal courts located in Wilmington, Delaware.
15.7 EU/UK Consumer Rights
If you are a consumer residing in the European Union or the United Kingdom, the mandatory consumer protection laws of your country of residence apply to these Terms and your use of the Service. Nothing in this Section 15 limits your statutory right to bring a claim in the competent courts of your country of residence. You may also use the European Commission’s Online Dispute Resolution (ODR) platform, available at ec.europa.eu/odr, to submit a complaint for online dispute resolution.
16. Changes to These Terms
We may modify these Terms at any time to reflect changes in our Service, legal requirements, or business practices.
Material changes — including changes to pricing, liability, dispute resolution, data handling, or your content rights — will be communicated with at least 30 days advance notice via email to your registered email address and/or through a prominent in-app notification.
Non-material changes — such as formatting corrections, typographical fixes, or minor clarifications that do not alter the substance of your rights or obligations — may be posted without advance notice.
Your continued use of the Service after the expiration of the notice period constitutes your acceptance of the modified Terms. If you do not agree with any material changes, you may close your account and export all your User Content during the notice period at no cost.

17. Export and Data Portability
You have the right to export your User Content at any time while your account is active. IndieChapters supports export in the following formats: PDF, EPUB, and DOCX. Export includes all your manuscripts, chapters, and notes stored within the Service.
Export formatting is provided on a best-effort basis. Complex formatting, custom typography, and layout elements may render differently across different e-reader devices, applications, and word processing software. We recommend reviewing exported files and making adjustments as needed for your specific target format or publishing platform.
After account closure, you have a 30-day grace period during which you may log back in to export your content before it is permanently deleted from our systems (see Section 11.2).
This commitment to data portability is a core feature of IndieChapters. We consider the ability to export your work a fundamental right, and we will not remove, degrade, or paywall export functionality to discourage users from leaving the platform.
18. Third-Party Services
The Service relies on third-party infrastructure and service providers to deliver its functionality. These providers include, but are not limited to:
- Vercel — application hosting and deployment
- Neon — PostgreSQL database hosting
- OpenAI — AI-powered transcription and text processing
- Stripe — payment processing and subscription billing
- Resend — transactional email delivery
- Cloudflare — file storage and content delivery
- Google — OAuth authentication
IndieChapters is not responsible for outages, errors, data loss, policy changes, or service disruptions caused by third-party providers. We select providers with strong reliability and security track records, but their services are ultimately outside our direct control.
Your use of certain features may be subject to the terms and conditions of third-party providers. For example, payment processing is subject to Stripe’s terms of service, and OAuth authentication is subject to Google’s terms of service. We encourage you to review the terms of any third-party services that you interact with through IndieChapters.
The Service may contain links to third-party websites, resources, or services. These links are provided for convenience only and do not constitute an endorsement by IndieChapters. We are not responsible for the content, accuracy, privacy practices, or availability of any third-party websites or services.
19. Communications
Transactional emails: We will send you emails related to your account and use of the Service, including account confirmations, security alerts, password resets, billing receipts, and payment failure notifications. These communications are necessary for the operation of the Service and cannot be opted out of while your account remains active.
Service announcements: We may send notices about important changes to the Service, including feature updates, maintenance schedules, changes to these Terms, and security disclosures.
Marketing communications: We will only send marketing, promotional, or newsletter communications with your explicit opt-in consent. You may unsubscribe from marketing communications at any time using the unsubscribe link in any marketing email, or by updating your notification preferences in your account settings.
Legal notices: Any legal notice required or permitted under these Terms may be delivered by email to your registered email address. Email sent to your registered email address constitutes valid and effective notice under these Terms. It is your responsibility to ensure your registered email address is current and monitored.
20. General Provisions
Entire Agreement. These Terms, together with our Privacy Policy, constitute the entire agreement between you and IndieChapters regarding the Service and supersede all prior or contemporaneous agreements, understandings, representations, and warranties, whether written or oral, regarding the Service.
Severability. No Third-Party Beneficiaries. These Terms are for the sole benefit of you and IndieChapters and do not confer any rights, benefits, or remedies on any third party, except as expressly provided herein.
